THE COOPERATIVE...
The cooperative as a legal form is described quite clearly and comprehensively in the Cooperative Law. Therefore, I do not intend to delve into unnecessary details. The important thing to know about it is that ONLY NATURAL PERSONS can be members—cooperative members. For the personal labor they provide, they should receive a share of the property. Additionally, they are entitled to social security payments according to Art. 4 of the CSC (Social Security Code).
The cooperative has governing bodies, namely the Board of Directors and the Supervisory Board. Members of both councils receive remuneration for the positions they hold. Relations between them and the cooperative should be regulated by a contract for management and control. Both bodies are COLLECTIVE. They can be selected from within the members of the cooperative or can be external individuals, again only natural persons. The Board of Directors has a chairman and can authorize them to represent the entire board, respectively the entire cooperative, for performing certain legal and factual actions. These can include signing contracts, actions for managing and stewarding the cooperative's property, disposing of the cooperative's financial resources, and more.
How can you register a cooperative?
First, the cooperative is registered in the commercial register with application A7, to which the relevant documents are attached, namely: Founding act, signed by all founders; founding protocol—decision by virtue of which the founders decide on the establishment of the cooperative, also signed by all founders; certificates of no criminal record for the members of both councils and the chairman; the declarations provided for in the law under Article 3, paragraph 1, point 3 of the CL, which are signed and submitted by all members of both councils and the chairman; declaration regarding the accuracy of the facts stated for registration and the documents submitted for announcement, signed by the applicant; notarized specimen of the signature of the cooperative's chairman.
The law generally provides that only natural persons can be members of the cooperative. Exceptionally, another cooperative may become a member of a cooperative, provided that evidence of its legal structure is submitted, as well as revealing who represents and manages this "member" cooperative; who is its proxy in the cooperative where it holds membership.
